TERMS AND CONDITIONS OF SALE

1. STANDARD TERMS AND CONDITIONS OF SALE
   
   1. Scope
   
   These Standard Terms and Conditions of Sale (hereinafter referred to as the "General Terms and Conditions") govern all sales of goods and services by KeyJet GmbH  (hereinafter referred to as the "Seller") to a customer (hereinafter referred to as the "Buyer"). By placing an order, the Buyer agrees to be bound by these General Terms and Conditions.
   
   2. Offers and Acceptance
   
   All offers made by the Seller are subject to confirmation. The Buyer's order constitutes a binding offer to purchase the goods or services specified in the order. The Seller may accept the Buyer's offer by issuing an order confirmation or by delivering the goods or performing the services.
   
   3. Prices
   
   All prices are in Swiss francs (CHF) and include VAT. The Seller reserves the right to adjust prices at any time. However, the prices quoted in the order confirmation or in the Seller's price list at the time of order placement will apply to the Buyer.
   
   4. Payment
   
   The Buyer must pay for the goods or services in full before delivery or performance. The Seller may accept payment by credit card, bank transfer, or other means as agreed upon between the Seller and the Buyer.
   
   5. Delivery and Performance
   
   The Seller will deliver the goods or perform the services to the Buyer at the address specified in the order confirmation. The Seller will use reasonable efforts to deliver the goods or perform the services within the time specified in the order confirmation or in the Seller's standard delivery terms, but delivery or performance may be delayed due to unforeseen circumstances beyond the Seller's control. The Buyer must inspect the goods or services upon delivery or performance and notify the Seller of any defects or discrepancies within [number] days of delivery or performance.
   
   6. Title and Risk
   
   Title to the goods passes to the Buyer upon delivery. However, risk of loss or damage to the goods passes to the Buyer upon shipment.
   
   7. Warranties and Liability
   
   The Seller warrants that the goods or services will meet the Buyer's reasonable expectations for quality and performance. The Seller's liability for any defects or damages is limited to the repair or replacement of the defective goods or services. The Seller is not liable for any indirect, special, or consequential damages.
   
   8. Cancellation and Return
   
   The Buyer may cancel an order for goods or services within 2 days of placing the order. The Buyer may return goods for a refund within 2 days of delivery. The Buyer must return the goods in their original condition and packaging.
   
   9. Insolvency of Buyer
   
   If the Buyer becomes insolvent, the Seller may suspend or terminate delivery of goods or performance of services. The Seller may also claim the immediate payment of all outstanding invoices.
   
   10. Entire Agreement
   
   These General Terms and Conditions constitute the entire agreement between the Seller and the Buyer, and supersede any prior or contemporaneous communications, representations, or agreements, whether oral or written.
   
   11. Applicable Law
   
   These General Terms and Conditions are governed by Swiss law. Any dispute arising out of or in connection with these General Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Switzerland.
